Dex Studio Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Dex Technologies (“Dex”, “we”, “us”, or “our”), governing your access to and use of the Dex Studio desktop application, the website located at https://askdexter.co, and any associated services, features, and documentation (collectively, the “Service”).

By downloading, installing, accessing, or using the Service, you signify that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not install, access, or use Dex Studio.

2. Description of the Service

Dex Studio is a local-first, autonomous desktop artificial intelligence workbench designed for macOS and modern workstations. The application allows users to orchestrate autonomous coding, research, writing, and office tasks using local tools and user-configured model providers.

Key operational characteristics of the Service include:

• Local Workspaces: Your project files, documents, and code repositories remain stored on your local computer. Dex Studio executes tools directly on your device rather than syncing your files to our servers.
• Direct Provider Communications: Model generation requests are dispatched directly from your device to your selected AI model provider (such as Anthropic, OpenAI, Google Gemini, Ollama, or custom endpoints) using your own credentials or approved configurations.
• Optional Integrations and Connectors: Dex Studio provides optional connectors (including Google Workspace services like Drive, Gmail, and Calendar) enabling autonomous agents to access external context strictly upon your explicit instruction.

3. Third-Party Services and Google Workspace Integration

Dex Studio enables you to optionally connect your Google account to empower agents with workspace context (such as searching Google Drive files, reading emails, or inspecting calendar events). When you connect your Google account, you acknowledge and agree that:

• Google Terms and Policies: Your use of Google integrations is subject to the applicable Google Terms of Service and Google API Services User Data Policy.
• Local Credential Storage: OAuth tokens received from Google are stored encrypted locally on your macOS machine (in Keychain / secure sandbox storage) and are never uploaded or transmitted to Dex servers.
• Direct API Calls: Dex Studio communicates directly between your machine and Google API endpoints over TLS 1.3 without passing through any intermediate proxy servers owned by Dex.
• Revocation at Any Time: You retain complete control to disconnect your account in Dex Studio (via Settings > Connectors) or revoke permissions globally via the Google Security Dashboard at any time.

4. User Content, Deliverables and Intellectual Property

Regarding data usage and artificial intelligence training:

• No AI Model Training on Your Data: Dex Studio does not use your local files, conversations, prompts, or connected Google Workspace data to train, evaluate, or fine-tune generalized AI or machine learning models.
• Application Ownership: Dex Technologies and its licensors retain all right, title, and interest in and to Dex Studio, including software code, UI design, branding, trademarks, logos, and documentation.

5. Acceptable Use Policy

You agree not to use Dex Studio to:

• Violate any applicable local, state, national, or international law, statute, or regulation.
• Infringe upon or misappropriate the intellectual property rights, privacy rights, or contractual rights of any third party.
• Distribute malware, viruses, worms, trojan horses, or other malicious code.
• Attempt to circumvent, disable, or interfere with security-related features, license controls, or rate limits of connected services.
• Interfere with or disrupt the integrity or security of third-party APIs (including Google API services or model providers).

6. Disclaimers of Warranties

DEX STUDIO AND THE SERVICE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

BECAUSE DEX STUDIO EXECUTES LOCAL TERMINAL COMMANDS, SCRIPT RUNS, AND CODE EDITS UPON YOUR INSTRUCTION, YOU ACKNOWLEDGE THAT YOU ARE RESPONSIBLE FOR REVIEWING ACTIONS, MAINTAINING RECENT BACKUPS, AND SUPERVISING AUTONOMOUS AGENT EXECUTION IN YOUR WORKSPACES. DEX TECHNOLOGIES DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF DEFECTS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEX TECHNOLOGIES, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, SYSTEM INTERRUPTIONS, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING DEX STUDIO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

8. Termination and Modification

These Terms remain in effect until terminated by either you or Dex Technologies. You may terminate these Terms at any time by ceasing all use of the Service and uninstalling the Dex Studio application from your devices.

We reserve the right to revise or modify these Terms from time to time. When changes occur, we will update the “Last Updated” date at the top of this document. Continued use of the Service after any modification constitutes your acceptance of the updated Terms.
